Terms of Service

Paxchange is an AI-powered peer-to-peer barter and exchange network that enables users to trade goods and services without cash transactions. The Services include item listing, AI-powered identification and valuation, trade matching, in-app chat, trade lifecycle management, and related features.

Paxchange is a platform that connects users for the purpose of arranging trades. Paxchange is not a party to any trade or transaction between users. We do not buy, sell, or take ownership of any items listed or traded through the Services. We are not responsible for the condition, legality, or accuracy of items listed by users.

The Services are intended for users who are at least 18 years of age. By using the Services, you represent that you are 18 or older. Users outside of the United States access the Services at their own initiative and are solely responsible for compliance with applicable local laws.

Our Intellectual Property

Paxchange and its licensors own all intellectual property rights in the Services, including all source code, databases, functionality, software, design, audio, video, text, photographs, and graphics (collectively, "Content"), as well as trademarks, service marks, and logos ("Marks"). These are protected by copyright, trademark, and other applicable laws worldwide.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial use only. This license does not include any right to copy, reproduce, distribute, sell, or commercially exploit any part of the Services or Content.

To make use of our Content or Marks beyond personal use, please contact us at support@paxchange.app. Any unauthorized use constitutes a breach of these Terms and may result in immediate termination of your access.

Your Content

You retain ownership of any content you submit to the Services, including item photos, descriptions, and messages ("Your Content"). By submitting Your Content, you grant us a worldwide, non-exclusive, royalty-free license to use, store, display, reproduce, and distribute Your Content solely for the purpose of operating and improving the Services.

You are solely responsible for Your Content. You warrant that Your Content is accurate, that you have the right to submit it, and that it does not infringe any third party's intellectual property or other rights.

By using the Services, you represent and warrant that:

• You are at least 18 years of age;
• You have the legal capacity and authority to agree to these Terms;
• You will not access the Services through automated or non-human means (bots, scripts, scrapers, etc.);
• All information you provide is truthful, accurate, current, and complete;
• You will not use the Services for any illegal or unauthorized purpose;
• Your use of the Services will not violate any applicable law or regulation;
• You own or have the right to trade any items you list on the platform;
• Items you list are accurately described and in the condition you represent them to be.

If you provide any information that is untrue, inaccurate, or incomplete, we have the right to suspend or terminate your account and refuse any current or future use of the Services.

You must register an account to use most features of the Services. You agree to:

• Keep your account credentials confidential and not share your password with anyone;
• Notify us immediately at support@paxchange.app if you suspect unauthorized access to your account;
• Be responsible for all activity that occurs under your account;
• Maintain accurate and up-to-date account information;
• Not create more than one account or create an account on behalf of another person without their permission.

We reserve the right to remove, reclaim, or change any username you choose if, in our sole discretion, it is inappropriate, offensive, or otherwise objectionable.

You may delete your account at any time from Profile → Settings → Delete Account within the app, or by emailing us at support@paxchange.app.

You may only use the Services for lawful purposes and in accordance with these Terms. You agree not to:

• List, offer, or attempt to trade any illegal items, including but not limited to: controlled substances, weapons, counterfeit goods, stolen property, or items prohibited by applicable law;
• Misrepresent the condition, authenticity, or ownership of any item you list;
• Deceive, defraud, or mislead other users, including misrepresenting your identity;
• Harass, abuse, threaten, or harm other users through the platform;
• Circumvent, disable, or interfere with any security features of the Services;
• Use the Services to collect or harvest any personal information about other users without their consent;
• Systematically retrieve data from the Services to create any database, directory, or compilation without our written permission;
• Upload or transmit viruses, malware, or other harmful code;
• Engage in any automated use of the system such as bots, scripts, or data mining tools;
• Use the Services for any commercial purpose not expressly authorized by us;
• Attempt to impersonate another user or use another user's username;
• Post spam, unsolicited advertising, or promotional material;
• Engage in any conduct that restricts or inhibits any other user from using or enjoying the Services;
• Attempt to bypass, circumvent, or work around the platform's trade process to conduct transactions outside of the Services;
• Delete or alter any copyright, trademark, or other proprietary notices in the Services.

Violation of these prohibitions may result in immediate suspension or termination of your account and may be reported to law enforcement where applicable.

The Services allow you to create listings including photographs, descriptions, and valuations of items you wish to trade ("Listings"). By creating a Listing, you represent and warrant that:

• You are the lawful owner of the item or have the authority to trade it;
• The item is accurately described, including its condition, authenticity, and any defects;
• The item is legal to own, sell, and transfer in your jurisdiction and the jurisdiction of potential trade partners;
• The photographs are genuine representations of the actual item being offered;
• The item does not infringe any third party's intellectual property rights (e.g., counterfeit goods are strictly prohibited).

We reserve the right to remove any Listing at our sole discretion without notice if we determine it violates these Terms, applicable law, or our community standards.

Paxchange uses AI to assist with item identification and valuation. AI-generated valuations are estimates only and do not constitute a guarantee of value. You are solely responsible for verifying the accuracy of any AI-generated information before proceeding with a trade.

Paxchange facilitates trades through a defined lifecycle: Proposed → Accepted → Confirmed → Shipped → Completed (or Cancelled or Disputed at any point). By participating in a trade, you agree to:

• Act in good faith throughout the entire trade process;
• Ship your item promptly once a trade is confirmed, in the condition described in your Listing;
• Provide accurate shipping tracking information within the app;
• Confirm receipt of items promptly and honestly;
• Not cancel or abandon a trade after both parties have confirmed without valid reason;
• Communicate respectfully with your trade partner through the in-app chat.

Paxchange is not responsible for items lost, damaged, or misrepresented during a trade. We strongly recommend that users:

• Photograph items thoroughly before shipping;
• Use tracked shipping services and retain proof of postage;
• Review the other party's trade history and reputation before accepting a trade.

All trades are conducted directly between users. Paxchange does not hold, insure, or guarantee any items. In the event of a dispute, Paxchange may, at its sole discretion, review available evidence and take action including cancelling a trade or suspending a user's account, but is under no obligation to resolve disputes between users.

Paxchange uses artificial intelligence and machine learning to provide features including item identification, market valuation, trade matching, and trade insights. You acknowledge and agree that:

• AI-generated identifications and valuations are estimates and may not be accurate;
• You should not rely solely on AI outputs when making trade decisions;
• AI features are provided for convenience only and do not constitute professional appraisal, legal, financial, or other advice;
• We are not liable for any loss or damage resulting from reliance on AI-generated content;
• Photos and item data you submit may be processed by third-party AI service providers (including Google Cloud AI) as described in our Privacy Policy.

Paxchange is currently free to use. We reserve the right to introduce fees for certain features in the future, including but not limited to a Trade Protection Fee per completed trade and a Premium subscription tier. We will provide reasonable notice before introducing any new fees. Your continued use of the Services after fee changes take effect constitutes your agreement to pay the applicable fees.

All payments, when introduced, will be processed through third-party payment processors. We do not store credit card or payment information directly. Payment processing is subject to the terms of the applicable payment processor.

We reserve the right, but not the obligation, to:

• Monitor the Services for violations of these Terms;
• Take appropriate legal action against anyone who violates the law or these Terms, including reporting to law enforcement;
• Remove or restrict any Listing or content that we determine, in our sole discretion, violates these Terms, applicable law, or our community standards;
• Suspend or terminate any user account for any violation of these Terms;
• Manage the Services in a manner designed to protect our rights, the rights of users, and the proper functioning of the platform.

These Terms remain in full force and effect while you use the Services. We may suspend or terminate your access to the Services at any time, with or without cause or notice, including if we determine that you have violated these Terms, engaged in fraudulent activity, or otherwise acted in a manner harmful to other users or to Paxchange.

Upon termination:

• Your right to access and use the Services will immediately cease;
• Any pending trades may be cancelled;
• We may delete your account and associated data in accordance with our Privacy Policy.

You may terminate your account at any time by going to Profile → Settings → Delete Account in the app.

Sections of these Terms that by their nature should survive termination will survive, including intellectual property rights, disclaimers, limitations of liability, and dispute resolution provisions.

We reserve the right to change, modify, update, suspend, or discontinue the Services at any time without notice. We are not liable for any loss, damage, or inconvenience caused by your inability to access the Services during any downtime, maintenance, or discontinuation.

We cannot guarantee the Services will be available at all times. We may experience technical issues, require maintenance windows, or need to perform infrastructure updates. Nothing in these Terms obligates us to maintain, support, update, or provide corrections or releases for the Services.

These Terms are governed by and construed in accordance with the laws applicable to the jurisdiction in which Paxchange operates. Where Paxchange serves users in the United States, United States federal law and the laws of the State of Delaware apply. For users in South Korea, Korean law may apply to the extent required by local regulation. For users in the European Union or United Kingdom, applicable EU or UK law applies to the extent required.

Nothing in this section limits any mandatory consumer protection rights you may have under the laws of your country of residence.

Informal Resolution

Before initiating any formal dispute process, you agree to first contact us at support@paxchange.app and attempt to resolve the dispute informally. We will make reasonable efforts to resolve the issue within 30 days of receiving your notice. Most concerns can be resolved quickly through direct communication.

Disputes Between Users

Paxchange is not obligated to mediate or resolve disputes between users arising from trades. We may, at our sole discretion, review evidence submitted by both parties and take action on the platform (such as cancelling a trade or suspending an account), but we are not liable for any outcome of a user-to-user dispute.

Formal Disputes

If informal resolution is unsuccessful, disputes arising out of or relating to these Terms or the Services may be submitted to binding arbitration under the rules of a recognized arbitration body in the applicable jurisdiction. Each party is responsible for their own legal costs unless otherwise awarded. Nothing in this section prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction for matters involving intellectual property infringement or unauthorized access.

To the extent permitted by applicable law, you agree that any dispute resolution proceedings will be conducted on an individual basis and not in a class action, consolidated, or representative proceeding.

There may be information on the Services that contains typographical errors, inaccuracies, or omissions, including descriptions, valuations, availability, and other information. We reserve the right to correct any errors, inaccuracies, or omissions and to change or update information on the Services at any time without prior notice. This includes AI-generated valuations and item identifications, which are estimates and may be updated or corrected.

You agree to defend, indemnify, and hold harmless Paxchange and its founders, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:

• Your use of or access to the Services;
• Your violation of these Terms;
• Any item you list, offer, or trade through the Services;
• Your violation of any third party's rights, including intellectual property rights;
• Any harmful, fraudulent, or illegal act you commit toward another user through the Services;
• Any misrepresentation you make in connection with a trade.

We reserve the right to assume exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of such claims.

We maintain data that you transmit to the Services for the purpose of managing and operating the platform. While we perform regular backups, you are solely responsible for all data you transmit or that relates to any activity you have undertaken using the Services.

Our collection and use of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to our data practices as described in the Privacy Policy.

By using the Services, you consent to receive electronic communications from us, including push notifications, emails, and in-app messages. You agree that all agreements, notices, disclosures, and communications we provide electronically satisfy any legal requirement that such communications be in writing.

You can opt out of marketing communications at any time by contacting us at support@paxchange.app or by disabling push notifications in your device settings. You will continue to receive service-related communications necessary for the operation of your account.

These Terms, together with our Privacy Policy and any other policies posted by us on the Services, constitute the entire agreement between you and Paxchange with respect to the Services and supersede all prior and contemporaneous agreements, representations, and understandings.

Our failure to exercise or enforce any right or provision of these Terms shall not operate as a waiver of that right or provision. If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be severed from these Terms and shall not affect the validity and enforceability of any remaining provisions.

We may assign any or all of our rights and obligations under these Terms to others at any time without notice. You may not assign your rights or obligations under these Terms without our prior written consent.

There is no joint venture, partnership, employment, or agency relationship created between you and Paxchange as a result of these Terms or your use of the Services.

These Terms shall not be construed against us by virtue of having drafted them.
